Terms of service.

We configure and operate one agentic outbound system for the market, trade and service radius agreed in your written scope. That includes building the prospect list, running outbound calling and email, following up, qualifying, booking appointments and reporting results.

We do the work described in your scope. We do not promise a specific number of booked jobs, a specific close rate or a specific revenue figure, because those depend on your market, your capacity and your sales team.

You provide accurate service information, approve the facts and promises the agent is permitted to make, and keep those approvals current.

You answer warm transfers during your stated hours, attend the appointments the agent books, and deliver the work you sell.

You tell us promptly if your capacity, licensing or service area changes.

A one-time build fee is payable before the build begins. A monthly operation fee is payable in advance. A performance fee applies per job the agent books that lands on your calendar, invoiced monthly in arrears.

Invoices are due on receipt. We will not charge the performance fee for dials, connections, email opens, replies or appointments that do not take place.

The monthly operation runs month to month after the build. Either side can end it with thirty days' written notice.

You can pause all calling, all email or the entire agent at any time without ending the agreement.

The build fee is not refundable once the build has been delivered, because the work has been done and the assets have been handed to you.

The prospect list built for your market, the call recordings, the transcripts and the pipeline data are yours. You can export them at any time and they are released to you on termination.

You own your CRM account and your customer data. We do not acquire any ownership interest in them.

You are responsible for the accuracy of the service facts you approve and for holding the licences and insurance required to deliver the work you sell.

We configure calling windows, do-not-call scrubbing, recording consent and suppression lists to the rules that apply in your jurisdiction, and we will refuse a configuration that we believe breaks the law or the terms of a telephony or email provider.

We may suspend an agent immediately if it is being used to make false claims, contact people who have opted out, or otherwise break applicable law.

Each side keeps the other's non-public information confidential and uses it only to perform this agreement.

We will not name you as a client publicly without your written permission.

Our total liability under this agreement is limited to the fees you paid us in the three months before the claim arose.

Neither side is liable for indirect or consequential loss. Nothing in these terms limits liability that cannot lawfully be limited.

Where a signed statement of work or master agreement exists between us, that document takes precedence over this page. This page governs otherwise.

We may update these terms; the version in force at the start of your engagement applies for its duration.
